The AES Corporation Announces Launch of Senior Secured Term Loan Financing

The AES Corporation (NYSE:AES) announced today that it is seeking to arrange a new syndicated senior secured term loan facility in an aggregate principal amount of $1.05 billion (the “New Term Loan”). The Company intends to use the net proceeds from the New Term Loan to finance its purchase of DPL Inc., the parent company of the Dayton Power & Light Company, pursuant to the parties’ previously announced merger agreement, and to pay certain fees and expenses related to the DPL transaction. Merrill Lynch, Pierce, Fenner & Smith Incorporated, J.P. Morgan Securities LLC and Morgan Stanley Senior Funding, Inc. are acting as joint lead arrangers and bookrunners in connection with the New Term Loan. A presentation for prospective participants in the New Term Loan will be posted on the Company's website on May 17, 2011.

The Company currently intends to finance the purchase through the issuance of debt securities which, subject to market and other conditions, may occur in the near term.
