American Water Announces Pricing of Upsized Common Stock Offering of 11,000,000 Shares

American Water Works Company, Inc. (NYSE: AWK) announced today the pricing of an upsized registered underwritten offering of 11,000,000 shares of its common stock at a public offering price per share of $135.50. American Water has granted the underwriters of the offering a 30-day option to purchase from American Water up to an additional 1,650,000 shares of common stock at the public offering price, less the underwriting discount.

BofA Securities, Wells Fargo Securities and RBC Capital Markets are acting as joint book-running managers for this offering.

The offering is expected to close on March 3, 2023.

The offering is being made pursuant to American Water’s effective shelf registration statement filed with the Securities and Exchange Commission.
