OTHER EVENTS

On November 19, 2014, Martin Marietta Materials, Inc. issued a press release announcing the commencement of an offer to exchange all of its floating rate senior notes due 2017 and 4.250% senior notes due 2024 for notes with terms that are substantially identical to the terms of the corresponding series of oustanding notes but which notes are registered under the Securities Act of 1933, as amended. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
