Item 8.01 Other Events

On June 22, 2007, the registrant issued a press release announcing a stock repurchase program to buy back up to 400,000 shares of the Company’s common stock beginning June 26, 2007, and that its Board of Directors declared a cash dividend of 9 cents per share on its common stock to be paid on July 13, 2007 to shareholders of record on July 2, 2007.
