ITEM 12. DISCLOSURE OF RESULTS OF OPERATIONS AND FINANCIAL CONDITION

         On August 2, 2004, OM Group, Inc. issued a press release announcing unaudited financial information for the three months and six months ended June 30, 2004, and the completion of its audit committee investigation, which will require restatement of its financial statements for 1999 through 2003. A copy of the press release is attached hereto as Exhibit 99.1.
