Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On March 26, 2007, Ken Nelson notified Otter Tail Corporation (the “Company”) of his decision to resign from the Company’s Board of Directors effective at the conclusion of the Company’s 2007 Annual Meeting of Shareholders on April 9, 2007. Mr. Nelson is resigning in order to devote more time to his personal business interests and not because of a disagreement with the Company.
