Item 8.01. Other Events.
     On April 6, 2006, Allergan, Inc. (“Allergan”) issued a press release announcing the pricing of its concurrent private offerings of $700 million in aggregate principal amount of 1.50% Convertible Senior Notes due 2026 and $800 million in aggregate principal amount of 5.75% Senior Notes due 2016. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
