Item 5.02 Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers.
On May 24, 2006, Global Industries, Ltd. (the “Company”) issued a press release announcing
that Cindy B. Taylor has been elected to the Company’s Board of Directors effective May 23, 2006.
Mrs. Taylor is expected to be designated as a member of the Company’s Audit Committee and Finance
Committee at the next regularly scheduled board meeting.
A copy of the press release is attached as Exhibit 99.1 to this Report and is incorporated by
reference into this Item 5.02.
