Item 8.01. Other Events.
     On October 24, 2011, Cigna Corporation (“Cigna”) and HealthSpring, Inc. (“HealthSpring”) conducted a conference call with analysts and investors to discuss Cigna’s proposed acquisition of HealthSpring announced earlier in the day. A copy of the transcript from the conference call is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
Additional Information and Where to Find It
     This communication is being made in respect of the proposed transaction involving the Company and Cigna. The proposed transaction will be submitted to the stockholders of the Company for their consideration. In connection with the proposed transaction, the Company will prepare a proxy statement to be filed with the Securities and Exchange Commission (the “SEC”).
