Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 2, 2010, Joseph F. Yospe, Senior Vice President and Controller of ABM Industries Incorporated (the “Company”), notified the Company of his intention to resign from such position effective as of February 25, 2010 and that he has accepted a position with another company. Mr. Yospe had served as the Company’s principal accounting officer.

James S. Lusk, who has served as the Company’s Executive Vice President and Chief Financial Officer since January 2008 and in the position of Executive Vice President since March 2007, will serve as the Company’s principal accounting officer.
