Item 8.01 Other Events.
On May 19, 2005, Pennsylvania Real Estate Investment Trust announced that its Board of Trustees had approved a 5.6% increase in the quarterly cash dividend on common shares to $0.57 per share. The first quarterly divided in the increased amount will be paid on June 15, 2005 to common shareholders of record on June 1, 2005.
