CELLCOM  ISRAEL ANNOUNCES DISMISSAL OF TWO PURPORTED
CLASS ACTIONS FILED AGAINST THE COMPANY

While the Company has not issued any report concerning the matter set forth below, the Company’s controlling shareholder will report this matter under the Israeli reporting requirements and, consequently, the Company is filing this Form 6-K.

NETANYA, Israel, November 29, 2011 – Cellcom Israel Ltd. (NYSE: CEL) (the “Company”) announced that in November 2011, two purported class actions filed against the Company in November and December 2010, were dismissed, at the request of the respective plaintiffs.

The purported class action lawsuit filed against the Company in November 2010 in the District Court of Tel-Aviv-Jaffa, was in connection with allegations that the Company unlawfully and in violation of its license does not allow its subscribers to review their agreements prior to signing them. Had the lawsuit been certified as a class action, the total amount claimed from the Company was estimated by the plaintiff to be approximately NIS 150 million.

The purported class action lawsuit filed against the Company in December 2010 in the District Court of Central region, was in connection with allegations that the Company misled its subscribers by not allowing them to update reduced tariff destinations in breach of their agreements. Had the lawsuit been certified as a class action, the total amount claimed from the Company was estimated by the plaintiff to be approximately NIS 148 million.
