(d) Effective July 21, 2005, the Board of Directors of the Registrant (the "Board") appointed H. Lowell Wainwright, Jr. to the vacancy caused by the previously announced retirement of Arthur L. Freeman. Mr. Wainwright was appointed to serve as a director until the annual meeting of stockholders in 2006, and until his successor is elected and has qualified. The Board does not expect that Mr. Wainwright will be assigned to any committees of the Board prior to the organizational meeting of the Board that will follow the annual meting of stockholders in 2006. Item 8.01. Other Events On July 21, 2005 the Board approved and declared a quarterly cash divided of $0.08 per share on the common stock of the Registrant. The dividend will be paid on August 15, 2005 to stockholders of record of the Registrant at the close of business on July 29, 2005.
