The Registrant is unable to file the Annual Report on Form 10-K for the fiscal
year ended October 31, 2002, within the prescribed period without unreasonable
effort or expense because of delays in obtaining information from certain
parties that is expected to have an impact on the financial statements. The
Registrant believes that it will be able to file the Annual Report on Form 10-K
within the extended time period.
