OTHER EVENTS. ------------- On September 29, 2004, SI Financial Group, Inc. (the "Company"), the holding company for Savings Institute Bank and Trust Company (the "Bank"), announced that it had received final regulatory approval to complete its initial stock offering. Trading is expected to begin on October 1, 2004, on The Nasdaq National Market under the symbol "SIFI." The Company sold 5,025,500 shares, representing 40% of the Company's outstanding shares of common stock, at $10.00 per share in a subscription offering which ended on September 14, 2004, to depositors of the Bank as of November 30, 2002 and the Bank's employee stock ownership plan in accordance with subscription rights granted under the Bank's plan of reorganization and minority stock issuance. In addition, in connection with the stock issuance, the Company will contribute 251,275 shares of common stock, which will equal 2% of the Company's outstanding shares of common stock, to SI Financial Group Foundation, Inc., a newly established charitable foundation dedicated to charitable giving within the Bank's market area.
