Shareholders of variable rate demand preferred shares (“VRDP shares”) received one share of the acquiring fund’s VRDP shares for each share of the fund’s VRDP shares held.  The terms of the old and the new VRDP shares were substantially similar.

Holders of common shares received newly issued common shares of the acquiring fund, the aggregate net asset value of which was equal to the aggregate net asset value of the common shares of the fund held immediately prior to the Reorganization (including fractional acquiring fund common shares to which shareholders were entitled).
