On December 1, 2005, Airgas, Inc. (the “Company”) announced the completion of the sale of the assets and operations of Rutland Tool & Supply Co., Inc. (“Rutland Tool”), a subsidiary of the Company based in Whittier, California, to Lawson Products, Inc. The press release announcing the completion of the sale is attached as Exhibit 99.1 and incorporated herein by reference.
