On January 27, 2005, Kronos Incorporated (the Company) announced its financial results for the fiscal quarter ended January 1, 2005. The full text of the press release issued in connection with the announcement and the transcript of the related conference discussing such press release on such date are furnished as Exhibits 99.1 and 99.2, respectively, to this Current Report on Form 8-K.
In the course of the conference call, the Company provided the following Non-GAAP financial measures for the fiscal quarter ended January 1, 2005 set forth below in accordance with the requirements of Regulation G and Item 10(e) of Regulation S-K. A Non-GAAP financial measure is a numerical measure of a companys historical or future financial performance, financial position or cash flows that excludes or includes amounts that are included in the most directly comparable measure calculated and presented in accordance with Generally Accepted Accounting Principles (GAAP).
Company revenue growth without the impact of acquisitions: 16% |
Company revenue from acquired businesses: 3% |
The Company further observed that total revenue growth for such period was 19%. The Company believes these Non-GAAP financial measures are useful to its investors to allow them to compare the Companys organic revenue growth for the reported period (revenue growth without the impact of acquisitions) to total revenue growth, including acquired businesses, for the reported period. The Company believes these Non-GAAP Financial Measures are useful because they highlight the financial performance of the companys core business.
