 Item 7.01      Regulation FD Disclosure.

On May 2, 2008, The Toro Company announced revised net earnings per share guidance for the three months ended May 2, 2008 and also announced revised net earnings per share and revenue guidance for the full fiscal year ending October 31, 2008. Attached to this Current Report on Form 8-K as Exhibit 99.1 is a copy of The Toro Company’s press release in connection with the announcement.
