SECTION 1.  Registrant's Business and Operations.

Item 1.01 Entry into a Material Definitive Agreement.

On September 29, 2005, PV Exploration Company ("PV Exploration"), an indirect wholly-owned subsidiary of Southwestern Energy Company ("Southwestern"), entered a Sales Agreement (the "Sales Agreement") with M.D. Cowan Inc. ("M.D. Cowan") pursuant to which PV Exploration agreed to purchase five drilling rigs and certain spare parts for an aggregate purchase price of approximately $40.7 million (the "Purchase Price").  In connection with entering the Sales Agreement, PV Exploration deposited into escrow approximately $10.2 million as a down payment. An additional $10.2 million is required to be deposited in escrow by PV Exploration upon notice from M.D. Cowan of the commencement of the fabrication of the first of the five rigs.  The remainder of the Purchase Price is payable in equal increments upon delivery of the rigs and the spare parts.  The first rig is expected to be delivered on or about April 15, 2006.  One additional rig is to be delivered on the fifteenth of each month thereafter and delivery of all rigs is expected to have been completed on or about August 15, 2006.
