On January 25, 2017, David W. Hambrick submitted a letter of resignation to the Board of Directors of City Holding Company (the “Company”). Mr. Hambrick stated that he intends to resign as a director of the Company and as a director of City National Bank (“City”) effective as of the annual meeting date in April 2017. Mr. Hambrick’s resignation was submitted for personal reasons and not due to any disagreement with the Company or any matter relating to the Company’s operations, policies, or practices.
