By letter dated May 20, 2013, which was presented to, and accepted by, the Board of Directors (“the Board”) of City Holding Company (the “Company”) on May 29, 2013, Hugh R. Clonch, a member of the Board of the Company, advised the Company of his decision to resign from the Board. Mr. Clonch has served on the Board since 1995 and also currently serves on the Board’s Compensation and Nominating and Governance Committees. The Company is not aware of any disagreement between Mr. Clonch and the Company on any matter relating to the Company’s operations, policies or practices
