On October 23, 2014, the Company issued a press release announcing that it has been notified of an unsolicited “mini-tender” offer by TRC Capital Corporation (“TRC Capital”) to purchase up to four million shares of the Company’s outstanding common stock. The Company does not endorse TRC Capital’s mini-tender offer and recommends that shareholders do not tender their shares.
