Item 8.01. Other Events
On July 29, 2010, the Company announced that its Board of Directors declared a regular quarterly cash dividend of $0.1875 per share, payable on September 30, 2010 to holders of record of its common stock at the close of business on September 9, 2010. On May 13, 2009, the Company announced its intention to establish a new annual dividend policy of $0.75 per annum, subject to applicable law and within the discretion of its Board of Directors, after the closing of its acquisition of Verizon’s local wireline operations in 14 states, which closed on July 1, 2010. A copy of the Company’s press release issued on July 29, 2010 announcing the declaration of the dividend is filed herewith as Exhibit 99.1 and incorporated herein by reference.
