Item 2.02

Results of Operations and Financial Condition

On May 11, 2017, Pioneer Power Solutions, Inc. issued a press release announcing its financial and operating results for the fiscal quarter ended March 31, 2017. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
