The Annual Meeting of Stockholders of Patterson-UTI Energy, Inc. (the “Company”) was held on June 5, 2013. Of the 146,427,968 shares of the Company’s Common Stock outstanding and entitled to vote at the meeting, 133,704,560 were present either in person or by proxy.

The following describes the matters considered by the Company’s stockholders at the Annual Meeting, as well as the votes cast at the meeting:
