Item 8.01 Other Events.

On August 26, 2009, Astronics Corporation issued a news release revising its revenue guidance for 2009 to $190 million to $200 million, down from the previously released guidance of $200 million to $210 million. A copy of the press release is attached as Exhibit 99.1.
