Item 5.02(b) Michael Cronin, a Director of Tweeter Home Entertainment Group, Inc. since 1995, has announced his resignation from the Board of Directors effective on January 25, 2007. In addition, Jeffrey Bloomberg, a Director since 1989 whose term expires at the Annual Meeting on January 25, 2007, will not be standing for re-election at this year's Annual Meeting.
