On July 27, 2006, the registrant announced its earnings results for the quarter ended June 30, 2006. A copy of the press release issued by the registrant regarding the foregoing is filed herewith as Exhibit 99.1 and is incorporated herein by reference.





Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On July 26, 2006, the registrant's Board of Directors appointed John Esposito to the Audit Committee. Mr. Esposito is the President and CEO of WEA Corp., Warner Music Group's U.S. sales and retail marketing company.

Mr. Esposito was appointed as a director of the registrant on April 26, 2006.
