Item 2.05       Costs Associated with Exit or Disposal Activities.

On June 4, 2008, Xilinx, Inc. (the “Company”) announced the completion of a functional reorganization. On June 3, 2008 the Company began providing notices to employees whose employment would be terminated as part of the reorganization. A press release announcing the reorganization is filed as Exhibit 99.1 hereto and incorporated herein by reference.
