(NYSE: EEP) entered into an Agreement and Plan of Merger among EEP, Enbridge Energy Company, Inc., which is the general partner of EEP, Enbridge Energy Management, L.L.C., which is the delegate of the general partner of EEP, and various other subsidiaries of Enbridge Inc. (NYSE: ENB) (Enbridge), that will, if the transaction is consummated, effectively result in each of your EEP units being exchanged for 0.335 of an Enbridge common share.

The Exchange Ratio of 0.335 of an Enbridge common share for each outstanding Class A common unit of EEP represents (based on the closing price of Enbridge common shares on September 17, 2018, the last trading day before the public announcement of the signing of the merger agreement) an implied premium of (i) 13.9% to the closing price of Class A common units on May 16, 2018, the last trading day before Enbridge made its initial proposal, and (ii) 17.4% to the 20-trading day volume-weighted average price of Class A common units for the period ended on May 16, 2018
