Item 8.01 Other Events.

On August 17, 2017, Spark Networks, Inc. (“Spark”) issued a press release announcing the filing with the U.S. Securities and Exchange Commission of a registration statement on Form F-4, which contains a preliminary proxy statement/prospectus regarding the proposed combination of the businesses of Spark and Affinitas GmbH (“EliteSingles”). The registration statement containing the preliminary proxy statement/prospectus was filed by Blitz 17-655 SE, the new holding company under which the businesses will combine and become Spark Networks SE, and is available through the SEC’s website at www.sec.gov under the company name “Blitz 17-655 SE.” The press release is attached hereto as Exhibit 99.1.
