Item 1.01. Entry into a Material Definitive Agreement.
On March 7, 2016, International Flavors & Fragrances Inc. (the Company) priced an offering (the Offering) of 500,000,000 aggregate principal amount of 1.75% Senior Notes due 2024 (the Notes). In connection with the Offering, the Company entered into an underwriting agreement, dated March 7, 2016 (the Underwriting Agreement), with BNP Paribas, J.P. Morgan Securities plc and Morgan Stanley & Co. International plc as representatives of the several underwriters named therein (the Underwriters). The Notes are offered in a registered public offering pursuant to the Companys Registration Statement on Form S-3 (File No. 333-209889) filed with the Securities and Exchange Commission on March 2, 2016. The Offering is expected to close on or about March 14, 2016.
The Underwriting Agreement includes customary representations, warranties and covenants by the Company. Under the terms of the Underwriting Agreement, the Company has agreed to indemnify the Underwriters against certain liabilities. Certain of the Underwriters and their respective affiliates have, from time to time, performed, and may in the future perform, various financial advisory and investment banking services for the Company in the ordinary course of their respective businesses, for which they received or will receive customary fees and expenses. Certain affiliates of the underwriters are lenders under the Companys bank credit facility.
