(1) This Registration Statement covers 3,000,000 additional shares of common stock, par value $0.50 per share, of M&T Bank Corporation (the “Registrant” or the “Corporation”) available for issuance under the Corporation’s Retirement Savings Plan (the “Plan”). This Registration Statement also covers an indeterminate number of additional shares which may be offered and issued pursuant to the Plan to prevent dilution resulting from stock splits, stock dividends or similar transactions. In addition, pursuant to Rule 416(c) under the Securities Act of 1933, this registration statement also covers an indeterminate number of interests to be offered or sold pursuant to the Plan.
(2) Estimated solely for purposes of calculating the registration fee pursuant to Rule 457(c) and Rule 457 (h) of the Securities Act of 1933, as amended; calculated based on the average of the high and low prices for the Corporation’s Common Stock on June 3, 2013, as reported on the New York Stock Exchange.

 

 

 

 


EXPLANATORY NOTE

This Registration Statement is filed to register an additional 3,000,000 shares of common stock, par value $0.50 per share, of the Corporation, to be offered or sold under the Plan. This Registration Statement is filed pursuant to General Instruction E of Form S-8. The contents of the Registration Statement on Form S-8 (File No. 333-164015) are incorporated herein by reference and made a part hereof.
