Item 5.02(e) Compensatory Arrangements of Certain Officers
On January 31, 2012, the Board of Directors of The Middlefield Banking Company, a wholly owned subsidiary of Middlefield Banc Corp., approved cash bonus payments to be made to President and Chief Executive Officer Thomas G. Caldwell ($52,650), Executive Vice President and Chief Operating Officer James R. Heslop, II ($27,750), Chief Financial Officer and Treasurer Donald L. Stacy ($21,000), Senior Vice President/Senior Loan Officer Jay P. Giles ($11,103.75) and two other executive officers in recognition of their service in 2011. The cash bonus payments were based on the Compensation Committees evaluation of certain individual and corporate performance objectives achieved during the 2011 fiscal year. The cash bonus payments will be paid no later than March 15, 2012.
