Forward-Looking Statements
This Form 8-K and the exhibit attached hereto contain forward-looking statements of AVEO Pharmaceuticals, Inc. (AVEO or the Company) that involve substantial risks and uncertainties. All statements, other than statements of historical facts, contained in this Form 8-K and the exhibit attached hereto, are forward-looking statements. The words anticipate, believe, estimate, expect, intend, may, plan, predict, project, target, potential, will, would, could, should, continue, contemplate, or the negative of these terms or other similar expressions are intended to identify forward-looking statements, although not all forward-looking statements contain these identifying words. These forward-looking statements include, among others, statements about: the Companys development, commercialization and manufacturing plans, timelines and strategies for tivozanib, as well as tivozanibs therapeutic and commercial potential; AV-299, AV-203 and its early-stage pipeline, and the potential therapeutic advantages and benefits of its product candidates; the Companys ongoing and planned preclinical studies and clinical trials; the potential benefits of the Companys strategic partnership agreements, its ability to achieve additional payments under these arrangements and its ability to enter into additional arrangements; the Companys plans to leverage its Human Response Platform to (i) discover and develop product candidates, including identification of related biomarkers, (ii) identify responsive patient populations to increase the probability of clinical success, and (iii) support pricing and reimbursement for its candidate products; the Companys planned commercialization, marketing and manufacturing capabilities and strategies; the Companys intellectual property position and strategies; the expected RCC market and potential of tivozanib to capture a piece of this market; the Companys projections with respect to its achievement of corporate milestones, including its anticipated success in the oncology markets; and the Companys estimates regarding the period in which it will have sufficient capital to fund its operations and its expected year-end cash balance for the period ended December 31, 2010.
Actual results or events could differ materially from the plans, intentions and expectations disclosed in the forward-looking statements that the Company makes due to a number of important factors, including those discussed in the Risk Factors and elsewhere in its most recent Form 10-Q and its other filings with the Securities and Exchange Commission. You should not place undue reliance on forward-looking statements because they involve known and unknown risks, uncertainties and other factors that are, in some cases, beyond the Companys control and that could materially affect actual results, performance or achievements. The forward-looking statements in this Form 8-K and the exhibit attached hereto represent the Companys views as of the date of this Form 8-K. The Company anticipates that subsequent events and development will cause its views to change. However, while it may elect to update these forward-looking statements at some point in the future, it has no current intention of doing so except to the extent required by applicable law. You should, therefore, not rely on these forward-looking statements as representing the Companys views as of any date subsequent to the date of this Form 8-K.
Item 2.02 | Results of Operations and Financial Condition. |
Although it has not finalized its full financial results for the fourth quarter and fiscal year ended December 31, 2010, the Company will announce during the 29th Annual J.P. Morgan HealthCare Conference, which begins on January 10, 2011, that it expects to report that it had approximately $140,000,000 in cash, cash equivalents and marketable securities as of December 31, 2010.
The information contained in this Item 2.02 of Form 8-K is unaudited and preliminary, and does not present all information necessary for an understanding of the Companys financial condition as of December 31, 2010 and its results of operations for the three months and year ended December 31, 2010. The audit of the Companys consolidated financial statements for the year ended December 31, 2010 is ongoing and could result in changes to the information set forth above. The Company anticipates making a public announcement of its results of operations for the fourth quarter and fiscal year ended December 31, 2010 on or about February 16, 2011.
The information in this Item 2.02 shall not be deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the Exchange Act) or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth by specific reference in such a filing.
Item 7.01 | Regulation FD Disclosure. |
The Companys President and Chief Executive Officer, Tuan Ha-Ngoc, will be presenting on January 11, 2011 at the 29th Annual J.P. Morgan HealthCare Conference. The slides to be used during Mr. Ha-Ngocs presentation are attached hereto as Exhibit 99.1 and the information contained therein is incorporated herein by reference. As discussed in the accompanying slides, the Company currently estimates that its existing cash and cash equivalents (including the proceeds received from its private placement of common stock in November 2010), marketable securities, committed research and development funding and milestone payments that it expects to receive under its existing strategic partnership and license agreements will allow it to fund its operating plan into 2012.
The information in this Item 7.01 and Exhibit 99.1 shall not be deemed filed for purposes of Section 18 of the Exchange Act or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth by specific reference in such a filing.
