Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On November 18, 2009, Mark P. Frissora (“Mr. Frissora”) notified NCR Corporation (“NCR”) that he is resigning from his position as a member of the Board of Directors of NCR (the “Board”) and the Chairman of the Compensation and Human Resource Committee of the Board, effective immediately, in order to pursue other professional board opportunities that would prevent him from dedicating the time necessary to perform his duties with NCR. Mr. Frissora also informed NCR that he has full confidence in NCR’s Board, leadership and strategy going forward.
