ITEM 2.02. Results of Operations and Financial Condition
On May 4, 2009, Crawford & Company (the “Company”) issued a press release containing information about the Company’s financial results for the first quarter 2009. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by this reference.
The press release contains non-GAAP financial measures and a reconciliation to the related GAAP measure is included. Operating earnings is one of the key performance measures used by the Company’s senior management to evaluate the performance of its operating segments and make resource allocation decisions. The Company believes this measure is useful to investors in that it allows them to evaluate its performance using the same criteria that management uses.

The Company has made available on the Company’s website at www.crawfordandcompany.com a presentation designed to enhance the information presented at its quarterly earnings conference call on Monday, May 4, 2009 at 3:00 p.m. Eastern Time.
