Item 8.01 Other Events.

On November 26, 2008, the Registrant’s Board of Directors approved pursuing participation in the U.S. Treasury’s Capital Purchase Plan upon receipt of preliminary approval from the U.S. Treasury on November 19, 2008, and approved termination of the Registrant’s Stock Repurchase Program effective December 10, 2008. A press release announcing preliminary approval in the U.S. Treasury’s Capital Purchase Plan and the termination of the Stock Repurchase Program is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
