Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 16, 2007, Mr. Toshihiko Ono resigned as a member of the Board of Directors of Spansion Inc. (the “Company”), effective immediately. Mr. Ono did not serve on any committees of the Company’s Board of Directors. Mr. Ono did not resign because of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
