R&G Financial Corporation (the “Company”) has previously disclosed in filings with the Securities and Exchange Commission on Form 8-K the need to restate its audited consolidated financial statements for the years ended December 31, 2002, 2003 and 2004 and the reasons therefor. The Company is working diligently to complete its restatement process and file its amended Annual Report on Form 10-K/A for the year ended December 31, 2004, file its Quarterly Reports on Form 10-Q for the first three quarters of 2005 and the first three quarters of 2006 and file its Annual Report on Form 10-K for the year ended December 31, 2005 as soon as practicable. Due to the work involved in the restatement process, the Company did not file its Annual Report on Form 10-K for the year ended December 31, 2006 by the March 1, 2007 deadline.

As more fully discussed in Part III, the Company is in the process of restating its interim and audited financial statements for the periods from January 1, 2002 through December 31, 2004 and will need to file its subsequent periodic reports thereafter. Consequently, the Company is not in a position to quantify any significant change in results of operations from the year ended December 31, 2006 as compared to the prior year at this time.
