On March 31, 2005, Tarrant Apparel Group (the "Registrant") issued a
press release regarding its financial results for the fourth quarter and fiscal
year ended December 31, 2004 and its outlook for fiscal 2005 results. A copy of
the press release is attached hereto as Exhibit 99.1 and is incorporated herein
by this reference.
