Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

  On April 25, 2018, Cognex Corporation (the “Company”) effected the amendment and restatement of Cognex’s 2001 General Stock Option Plan (the “2001 Plan”), which, among other changes, reserves an additional 10,000,000 shares of the Company’s common stock to be granted under the 2001 Plan. The material terms of the 2001 Plan are described in the Company’s 2018 Definitive Proxy Statement filed with the Securities and Exchange Commission (the “SEC”) on March 14, 2018 (the “Proxy Statement”) and are incorporated herein by reference. The Company’s Board of Directors (the “Board”) approved the 2001 Plan on February 10, 2018 and the Company’s shareholders approved the 2001 Plan on April 25, 2018 at the Company’s 2018 Annual Meeting of Shareholders. The foregoing description of the 2001 Plan is qualified in its entirety by the 2001 Plan, which is incorporated by reference to Appendix A to the Proxy Statement.

Item 5.07  Submission of Matters to a Vote of Security Holders

  On April 25, 2018, the Company held its 2018 Annual Meeting of Shareholders (the “Meeting”). As of the record date for the Meeting, there were 172,858,091 shares of common stock of the Company outstanding and entitled to vote. The Company shareholders approved each of the proposals put to a vote as recommended by the Board. The proposals had been previously announced and described in the Notice of Meeting contained in the Proxy Statement. The 151,043,626 shares represented at the Meeting were voted as follows:
1. The election of Eugene Banucci and Jerry A. Schneider as Directors to serve for a term ending in 2021, and the election of Dianne M. Parrotte as Director to serve for a term ending in 2020. Each nominee for director was elected by a vote of the shareholders as follows:
