(1) On November 26, 2012, Oleum Capital LLC acquired preferred stock of Digerati Technologies. The Form 3 filed on December 3, 2012 reported Oleum Capital's ownership of Series A Preferred Stock convertible into Digerati common stock. This amendment is being provided to provide another line of ownership information, reporting Oleum Capital's acquisition of Digerati Series E Preferred Stock, also acquired on November 26, 2012. In accordance with the form instructions, this amendment only adds the line to Table I for the Series E Preferred Stock. There has been no change to Oleum Capital's ownership of Series A Preferred Stock as originally reported.
(2) This amendment also adds as joint reporting persons David Gorham, Terry Dunken, and Terry Dunken as Trustee of the Rainmaker Trust dated August 17, 2012 (the "Rainmaker Trust"). All reporting persons share the same address. Mr. Gorham, Mr. Dunken and the Rainmaker Trust are deemed to be the indirect beneficial owners of the same shares held directly by Oleum Capital. The Rainmaker Trust owns 60% of Oleum Capital. Mr. Gorham's wife and children are the beneficiaries of the Rainmaker Trust. Mr. Dunken is the manager of Oleum Capital and the trustee of the Rainmaker Trust. Mr. Dunken's wife is the beneficiary of a trust that owns 30% of Oleum Capital. Mr. Gorham, Terry Dunken, and the Rainmaker Trust disclaim Section 16 beneficial ownership of all shares held by Oleum Capital, and this report shall not be deemed an admission that any of the reporting persons is the beneficial owner of the shares, except to the extent of a reporting person's pecuniary interest, if any, therein.
