3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or
Standard; Transfer of Listing
On
February 7, 2007, the Company received a letter from the American Stock Exchange
(the “Exchange”) announcing that the Exchange will suspend trading in the
Company’s common stock as soon as practicable and will initiate the delisting
process of its stock from the Exchange in accordance with Section 1010 of the
Company Guide. The Exchange’s determination is final and cannot be appealed.
The
Company intends to take the necessary steps to have its securities included
for
quotation on the Over the Counter Bulletin Board (“OTC”).
