(the "Company") issued to Arizcan Properties, Ltd. ("Arizcan") a total of 200,000 shares of its newly designated Series A Convertible Preferred Stock, par value $0.0001 per share (the "Series A Preferred Stock") for an aggregate purchase price of $1,500,000. For purposes of acquiring the shares of Series A Preferred Stock, Arizcan paid the Company $400,000 in cash from loans made by individuals to Arizcan and executed and delivered an unsecured promissory note bearing interest at 7% for the remaining $1,100,000 payable on or before one year from the Issue Date. The terms of the Series A Preferred Stock, including but not limited to its rights and preferences, are as set forth in the Certificate of Designation of Series A Preferred Stock attached as an exhibit to this Report, and is incorporated by reference herein. Each share of Series A Preferred Stock may be converted into 1,500 shares of the Company's common stock, par value $0.0001 per share ("Common Stock") at the times and in the manner set forth in the Certificate of Designation.
