Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 21, 2016, Robert R. Nordhaus, a director of PNM Resources, Inc. (“PNMR”) since September 18, 2007, notified the Chairman of the PNMR Board of Directors and the Chairman of the Nominating and Governance Committee of the PNMR Board that he will not be standing for reelection at the 2016 Annual Meeting of Shareholders on May 17, 2016. However, Mr. Nordhaus will serve out his current term as a director that expires at the 2016 Annual Meeting. Mr. Nordhaus also confirmed that there are no disagreements between PNMR and him relative to his decision not to stand for reelection.
