Item 1.01.  Entry into a Material Definitive Agreement.

 

On  November 16, 2015, United States Cellular Corporation (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC, RBC Capital Markets, LLC, UBS Securities LLC and Wells Fargo Securities, LLC, as representatives (the “Representatives”) of several underwriters named therein (the “Underwriters”), and a related Terms Agreement (the “Terms Agreement”) among the Company and the Representatives, pursuant to which the Company agreed to sell to the Underwriters, and the Underwriters agreed to purchase from the Company, subject to the satisfaction of the terms and conditions set forth in the Underwriting Agreement, $300,000,000 aggregate principal amount of the Company’s 7.25% Senior Notes due 2064 (the “Notes”).  The Underwriting Agreement contains customary representations, warranties and agreements of the Company, conditions to closing, indemnification rights and obligations of the parties, and termination provisions.  Copies of the Underwriting Agreement and the Terms Agreement are attached hereto as Exhibit 1.1 and Exhibit 1.2, respectively, and are incorporated herein by reference thereto.

Item 8.01.  Other Events.

 

The Notes were registered under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to a shelf registration statement on Form S-3, as amended (File No. 333-202271).  On November 17, 2015, the Company filed with the Securities and Exchange Commission a prospectus supplement to the prospectus dated November 16, 2015 pursuant to Rule 424(b)(5) under the Securities Act, relating to the offering of the Notes, which is incorporated by reference herein as Exhibit 99.1.

 

On November 17, 2015, the Company announced that it had priced a public offering of $300,000,000 of 7.25% Senior Notes due 2064.  The Company’s press release issued on November 17, 2015 relating to such announcement is attached as Exhibit 99.2 and incorporated herein by reference thereto.
