Item 2.05                                             Costs Associated with Exit or Disposal Activities.

 

On  June 16, 2010, FormFactor, Inc. (the “Company”) announced a reduction in force of approximately 67 employees, about 8% of its total workforce, as part of a cost reduction plan that includes restructuring and reducing the size of its workforce.

 

The activities comprising the reduction in force are expected to be substantially completed by the fourth quarter of fiscal 2010.  The Company expects to record charges of approximately $5 million in connection with the reduction in force associated with one-time severance benefits, which will be recorded in the second quarter of fiscal 2010.

 

A press release announcing the reduction in force is attached hereto as Exhibit 99.01.
