Item 5.02(b). Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On January 7, 2010, the Board of Directors (the “Board”) of Accuray Incorporated (the “Company”) received notification from John Wareham of his resignation from the Company’s Board, effective immediately.  Mr. Wareham’s resignation was for personal reasons, and was not a result of any disagreement with the Company or any matter relating to the Company’s operations, policies or practices.  Mr. Wareham has served on the Board since February 2008, and his current term is scheduled to expire in November 2011.
